ChargeAutomation Referral Program - Terms & Conditions of Service

ChargeAutomation, Inc. (“ChargeAutomation”, “we”, “us”) is pleased to offer you the opportunity to participate in our Referral Program (“Program“). By joining, you can earn commissions by referring new customers to subscribe to our software. As a participant, you agree to promote our products and services responsibly and in compliance with the terms outlined in this agreement. We value our partnership with you and are committed to providing a straightforward and rewarding experience as you help others discover the benefits of ChargeAutomation.

The following terms (“Terms”) govern your participation in the Program. By participating in the Program, you agree to adhere to the guidelines set forth here and any additional terms we may apply. If you do not agree to these Terms in their entirety, you cannot register or participate in the Program. Additionally, you must not participate in the Program if doing so would violate any applicable laws or regulations. ChargeAutomation administers the Program and may outsource certain aspects of its administration to third parties (collectively “Administrator”).

Eligibility & Participation.

The Program is void where referral programs are prohibited by law. Participants who have an existing and valid ChargeAutomation user account in good standing and refer others to the Program are considered “Referrers.” Referrers must be legally eligible to participate in the Program based on their location. Those who do not have a ChargeAutomation user account but still refer others to the Program are referred to as “Affiliates.” Affiliates, like Referrers, must be legally eligible to participate in the Program in their location.

Individuals or Companies who are referred to ChargeAutomation’s software or services are deemed “Referred Customers.” A Referred Customer gains this status upon subscribing to ChargeAutomation software and making at least one successful subscription payment. Referrals who sign up for free products or create an account but do not complete payment do not qualify as Referred Customers and, therefore, do not earn the Referrer or Affiliate a Reward.

ChargeAutomation reserves the right to determine the validity of a Referrer’s or Affiliate’s account or eligibility based on the criteria outlined in these Terms or any other criteria not explicitly stated herein. To receive their Rewards, Referrers and Affiliates must be able to retrieve funds through the payment processor provided by the Administrator.

Program Overview for Affiliates & Referrers

Current and past users, affiliates promoters, media, consultants and other individuals or business entities are required to create an account via the Administrator platform.

Upon successful enrollment on the Administrator’s platform, you will be provided a link
which you can share. If a Customer uses your personal link to subscribe to ChargeAutomation, the Referring Affiliate will receive a Reward (20% of the Referred Customer’s subscription price in USD paid via a payment processor, chosen by the Administrator, for 6 months). If a Referred Customer signs up for an annual plan, the Reward will be a single 20% reward applied to the value of the annual plan that the Referred Customer selected.

Affiliates & Referrers may post their unique links on social media platforms, websites, blogs, or share verbally in video or audio mediums.
ChargeAutomation requires all referrals to be processed through the Program Administrator’s platform. Any referrals made outside the Program Administrator’s platform will not be eligible for a reward.

Promotions and Special Events

At various times Referrers and Affiliates may be offered special promotions (“Special Promotion”). These Special Promotions may be offered to some, but not all Users, depending upon the nature of the promotion and further to the discretion of ChargeAutomatoin. Such Special Promotions may reward users for completing specific actions, or participating in events or activities which will be detailed by ChargeAutomation in the Special Promotion offer. To receive rewards for Special promotions, Users must meet the eligibility criteria outlined above.

Code of Conduct and Inappropriate Conduct

Affiliates and Referrers agree not to breach these Terms or engage in any conduct that could be perceived as harassment toward other users. Users also commit to refraining from using the Program to infringe on ChargeAutomation’s intellectual property rights, distribute spam or engage in inappropriate bulk sharing of the Personal Link, or collect personal information about other users or potential Referred Customers without consent. Furthermore, users must avoid any actions intended to disrupt or compromise the integrity of the Program, including attempts to gain unauthorized access to the software or Program. Additionally, users must not transmit files containing malicious software such as bots, viruses, worms, or Trojan horses that could harm ChargeAutomation’s intellectual property or impair the functionality of ChargeAutomation’s services. Engaging in illegal activities, harassing behavior, or participating in actions that disparage or harm the reputation of ChargeAutomation, as judged solely by ChargeAutomation, is strictly prohibited.

ChargeAutomation reserves the right to prevent any individual from participating in the Program or from receiving rewards if it is determined that the individual is attempting to compromise the fairness, integrity, or legitimate function of the Program. This includes, but is not limited to, actions such as cheating, hacking, deception, or any other unethical behavior intended to disrupt, abuse, threaten, or harass other ChargeAutomation users (whether or not they are part of the Program) or ChargeAutomation representatives. The use of any automated systems, such as bots or scripts, to engage in the Program is strictly prohibited and will result in immediate disqualification. ChargeAutomation also reserves the right to disqualify individuals, revoke rewards, suspend or disable accounts, and, if necessary, contact legal authorities (including law enforcement) if it finds evidence of tampering with the referral process or the operation of the Program, or any violation of these Terms. Referrals generated through automated means or similar methods will be disqualified. Should it become impossible to maintain the integrity of the Program, ChargeAutomation reserves the right to cancel, modify, or suspend the Program.

Liability Release

By participating in the Program, you, as an affiliate or referrer, agree to release, indemnify, and hold harmless ChargeAutomation, its subsidiaries, affiliates, and their respective directors, officers, employees, and agents from any and all liability, claims, damages, or expenses, including without limitation, indirect, incidental, special, consequential, or punitive damages, arising out of or related to your participation in the Program, the use or misuse of your affiliate links, or any breach of these Terms.

ChargeAutomation expressly disclaims any liability for loss of profits, loss of business opportunities, reputational damage, or any other indirect or consequential damages, whether arising in contract, tort (including negligence), or otherwise, even if ChargeAutomation has been advised of the possibility of such damages.

You further agree to indemnify and hold ChargeAutomation harmless against any and all claims, suits, or proceedings brought by any third party based on your activities as an affiliate, including, but not limited to, claims related to false advertising, misuse of affiliate links, or violation of any applicable laws or regulations.

These Terms, including this Liability Release, shall be interpreted in accordance with the laws of the State of California and Canada, without regard to conflict-of-law provisions. Any judicial proceedings (excluding small claims actions) must be brought in state or federal court in Orange County, California, unless otherwise mutually agreed upon. Both you and ChargeAutomation consent to venue and personal jurisdiction in Orange County, California.

Rights Reserved

ChargeAutomation reserves the right to modify, suspend, or terminate the Program and any associated terms at any time and for any reason, at our sole discretion. This includes, but is not limited to, the right to change the eligibility criteria, the nature and value of rewards, and any terms governing participation in the program. We also reserve the right to determine the validity of any participant’s eligibility or account based on the criteria outlined in these Terms or any additional criteria not explicitly stated herein. Participants will be notified of significant changes via email or through the Program platform.

ChargeAutomation utilizes tracking technology to monitor the use of referral links. In the event of any technical issues or disputes over tracking, ChargeAutomation reserves the right to review and adjust commissions based on the best available data.

Furthermore, the failure of ChargeAutomation to enforce any term or provision of these Terms shall not be construed as a waiver of that provision. All rights and obligations under these Terms remain in full force and effect.

Privacy

Participation in the Program may require Referred Customers, Referrers, or Affiliates to provide personal information. This information will be collected, processed, and used in accordance with ChargeAutomation’s Privacy Policy. Additionally, the personal information provided may be used by ChargeAutomation or its authorized third-party administrators to communicate with users regarding their participation in the Program and to send them relevant updates or communications from ChargeAutomation.

Applicable Law and Jurisdiction

If your country of residence or establishment is Canada, these Terms will be interpreted in accordance with the laws of the State of California and Canada, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) must be brought in state or federal court in Orange County, California, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Orange County, California.
